A fantastic opportunity has arisen for a Corporate Paralegal to join a West Coast-headquartered law firm in London.
 
The firm are extremely well respected in the transactional space, and, because of their West Coast heritage their have an enviable client list of Silicon Valley businesses. They represent companies at every stage of development, from entrepreneurial start-ups to $multibillion global corporations, as well as the venture firms, private equity firms, and investment banks that finance and advise them.
 
Culturally, the firm are down-to-earth, relaxed and extremely collegiate. They prefer to emulate the relaxed, entrepreneurial culture of their clients rather than that of other US law firms!
 
The role
 
This role will be the firm’s first Paralegal hire in London, as such there is the opportunity to really make the role your own.
 
The successful Corporate Paralegal can look forward to working closely with Lawyers on deals involving both private and public companies. Your responsibilities will involve:
  • Preparing a range of transactional documentation, e.g. incorporation documents, board and shareholder actions, indemnification agreements, and third-party agreements.
  • Drafting agreements.
  • Conducting legal research and preparing reports.
  • Preparing and managing corporate filings.
  • Working on venture capital financings, debt financings, mergers, acquisitions, and public offerings.
  • Liaising with clients, directors and investors.
  • Handling due diligence and closing processes.
 
About you:
 
  • The key skill set required for this Paralegal role is experience of corporate tasks, e.g. Companies house filings, drafting board minutes.
  • Exposure to US transactions would be extremely beneficial but is not required
  • Experience with DocuSign is preferred
Personality and team fit is key for this role, as such, the firm are quite open as to the background of their new Corporate Paralegal. They are keen to consider the following:
  • Someone who has in a Company Secretarial capacity and is now looking to step into a legal-focussed role
  • Someone from a Secretarial background in a Corporate/M&A team who is looking to pursue a legal career
  • As well as someone from a more traditional Corporate Paralegal background
This Corporate Paralegal role is a fantastic opportunity for someone who enjoys transactional work but is looking for a more relaxed working culture. The firm are growing their London office and are keen to offer opportunities for progression in the coming 12-24 months, whether via the SQE or a more traditional Training Contract.
