A prestigious US law firm in the City of London is seeking a Corporate Paralegal to join its highly regarded transactional team on a full-time contract basis. The team is known for advising on complex corporate matters, including high-value cross-border work and selected M&A transactions, acting for an impressive roster of global clients across financial services, private capital and technology sectors. Responsibilities:
The Corporate Paralegal will be responsible for:
- Reviewing and drafting corporate documentation, including board minutes, shareholder resolutions, share certificates and stock transfer forms
- Assisting with due diligence, including company searches and data room management
- Preparing and collating conditions precedent documentation and tracking the CP process
- Supporting pre-completion matters, including proofreading and document management
- Coordinating signing and closing arrangements on corporate transactions
- Managing post-completion tasks, including preparation of transaction bibles and file management
- Handling Companies House filings and corporate registrations
- Providing general transactional support to the Corporate team
About You
To be successful in this role, you should demonstrate:
- At least 1 year of Corporate paralegal experience, ideally with some exposure to M&A work
- Strong academic background
- Excellent attention to detail and organisational skills
- The ability to manage tasks independently and work to tight deadlines
