Funds Paralegal

A fantastic opportunity has arisen for a Funds Paralegal to join a prestigious US law firm in London on a full time 6–12-month basis.
 
The firm's global interdisciplinary Funds practise represents many of the world's most well-known advising businesses, asset managers, and other financial organisations. The organisation works with both public and private funds. The team advised four of the top ten largest private equity funds raised in the first three quarters of 2021.
 
Your Role:
The successful Paralegal will be providing transactional support to the team and the fee earners. Duties will include:
 
  • Preparing the initial limited partnership agreements and registration documents for new investment vehicles.
  • Performing statement verification tasks for each new funds private placement memorandum and drafting related AIFMD disclosures.
  • Creating proforma side letters to reflect the key changes made by the client when raising a successor fund.
  • Tracking the commercial comments raised by core investors following their review of the main fund documentation.
  • Preparing initial response memoranda to address investors’ requests for changes to the limited partnership agreement, whether based on commercial, legal, tax or regulatory reason.
  • Preparing and submitting Companies House filings.
  • Drafting corporate authorisations, liaising with specialist regulatory counsel.
  • Carrying out winding up/insolvency searches.
 
About You:
  • Educated at GDL/LLB level (or equivalent), ideally finished LPC.
  • Strong academics are essential (2:1 plus & high A Levels).
  • Previous Transactional, Funds, M&A, Finance, or Banking experience is required.
  • Ability to engage firm resources in the completion of large projects.
  • High level of attention to detail.
