Your Role:
The successful Paralegal will be providing transactional support to the team and the fee earners. Duties will include:
- Preparing the initial limited partnership agreements and registration documents for new investment vehicles.
- Performing statement verification tasks for each new funds private placement memorandum and drafting related AIFMD disclosures.
- Creating proforma side letters to reflect the key changes made by the client when raising a successor fund.
- Tracking the commercial comments raised by core investors following their review of the main fund documentation.
- Preparing initial response memoranda to address investors’ requests for changes to the limited partnership agreement, whether based on commercial, legal, tax or regulatory reason.
- Preparing and submitting Companies House filings.
- Drafting corporate authorisations, liaising with specialist regulatory counsel.
- Carrying out winding up/insolvency searches.
About You:
- Educated at GDL/LLB level (or equivalent), ideally finished LPC.
- Strong academics are essential (2:1 plus & high A Levels).
- Previous Transactional, Funds, M&A, Finance, or Banking experience is required.
- Ability to engage firm resources in the completion of large projects.
- High level of attention to detail.
