The Role:
You will be part of a team of four based across the firm's UK and international offices, and you will play an important role both within the team and for the firm. You will be responsible for assisting the firm’s legal function with private equity and transactional support, reporting directly to the General Counsel. In return there is scope for the successful Impact Finance Paralegal to qualify via the SQE!
Duties include:
- Reviewing, writing, and negotiating nondisclosure agreements (NDAs).
- Anti-money laundering/know-your-customer (AML/KYC) procedures and onboarding (Fund, investor and portfolio companies and including assisting with KYC requests from portfolio companies).
- Organizing board meetings and drafting board/shareholder resolutions.
- Management of legal agreements, including document signatures
- Filings with the Companies House.
- Assisting with legal and procedural issues relating to local and international banking, finance and fund laws, fund prospectus changes, and distribution requirements.
- Doing legal research.
- Assistance with fund administration.
- Perform due diligence on investors.
- Fund service providers are migrating.
- Managing the life cycle of a fund.
- Entity management for special-purpose vehicles.
- Assistance with the transaction execution procedure.
- Assisting with the signing of investment documents.
- Following up on investment post-closing actions and ensuring that criteria are met.
- Managing original signed investment paperwork, share certificates, and other such items.
About You:
The firm is looking for a paralegal with experience in Impact Finance who is eager to grow their career in a forward-thinking, entrepreneurial environment. The ideal paralegal will have prior in-house experience and knowledge of funds or private equity.
- Ideally applications will have two years’ practical transactional experience as a Paralegal.
- A genuine interest in ESG/Impact Finance.
- Professional experience in investment/asset management companies preferred
- Experience working with other European and international jurisdictions would be an advantage.
- Luxembourg Fund experience is not a pre-requisite but would be advantageous.
- Strong academics.
The successful Impact Finance Paralegal will be offered £42,000 - £46,000 per annum, depending on experience.
